RETIREMENT CONFERENCE ON DEMAND
END USER LICENSE AGREEMENT
The Int’l Retirement Resource Center (“RRC”), a retirement education and training company, provides online informational and educational courses designed for professionals and others working in the retirement services industry (the “Courses”) and associated content and materials (“Materials”), which are accessed through RRC’s proprietary website portal, the Retirement Resource Center, https://Retirement-Resource-Center.net (the “Website”).
As an employee and agents of Colorado Public Employees’ Retirement Association (CoPERA) (“Employer”) authorized to access and use the Courses and Materials, you (“User”) agree with the terms and conditions of this End User License Agreement (“Agreement”).
Please read this Agreement carefully before using any of the Courses and Materials offered by RRC described below.
BY CLICKING THE “I AGREE” BUTTON BELOW AND ACCESSING THE COURSES AND MATERIALS, USER ACKNOWLEDGES THAT HE/SHE HAS READ THIS AGREEMENT, UNDERSTANDS IT, AND AGREES TO BE BOUND BY ITS TERMS. IF USER DOES NOT AGREE TO ALL OF THE TERMS IN THIS AGREEMENT, USER IS NOT AUTHORIZED TO ACCESS OR OTHERWISE UTILIZE THE COURSES AND MATERIALS.
- LICENSE
Subject to this Agreement, RRC hereby grants User a limited, non-transferable, and non-exclusive license (the “License”) to use the Courses and Materials via the Website during the License Term for the sole purpose of providing User with information and training that may be useful to such User individually in his/her work within the retirement services industry. User’s use of the Courses and Materials shall be strictly in accordance with the terms and conditions of this Agreement.
- LICENSE TERM
The term of the License granted to User (the “Term”) shall be limited to that period of time User is authorized to access the Courses and Materials via the Website, as determined by Employer’s agreement with RRC and any limitations or extensions thereof as Employer and RRC may agree.
- PURPOSE AND USE
User acknowledges that RRC is making the Courses and Materials available to Employer and User for informational and educational purposes only in the United States. Nothing in the Courses or the Materials should be construed as providing legal or tax advice of any kind. Information and examples presented in the Course and Materials are for illustrative purposes only and may not apply to all situations and circumstances.
- RESTRICTIONS ON USE
User and other registered employees of Employer (“Registered Users”) may access and utilize the Courses and Materials solely for Employer’s internal training purposes and only in accordance with the terms and conditions set forth herein. Each Registered User shall be registered with a unique username and password that will allow Registered User to access the Courses and Materials via the Website. Registered Users may access and utilize the Courses and Materials solely for their personal educational benefit. Registered Users shall be prohibited from sharing or transferring their assigned username and password to any other person. Neither the Courses nor any Materials may be copied or duplicated in any form or manner or shared with any person or entity other than Employer and other Registered Users. Neither the Courses nor the Materials may be used by User in a classroom setting or projected or transmitted via online conferencing software unless all persons in attendance or with access thereto are currently Registered Users.
- USER’S RESPONSIBILITIES
User agrees to comply with all Terms of Use applicable to the Website, the Courses and the Materials, and all applicable laws and regulations thereof, including, but not limited to copyright, trademark, other intellectual property rights, data privacy, international communications, import and export regulations and tax laws and regulations. User agrees to notify Employer or RRC promptly if User suspects unauthorized use of User’s account. As a condition of User’s access to and use of the Courses and Materials, User warrants to RRC that User will not use the Courses and Materials for any purpose that is unlawful or prohibited by the terms and conditions of this Agreement.
- WEBSITE AVAILABILITY
The Website and the Courses and Materials will be accessible to User during the Term of User’s License, except for scheduled maintenance and any required repairs, and except for any loss or interruption of access due to causes beyond the control of RRC or which are not reasonably foreseeable by RRC, including, but not limited to, interruption or failure of telecommunication or digital transmission links or servers and Internet slow-downs or denial-of-service attacks.
- MODIFICATIONS TO THE COURSES AND MATERIALS
The Website, the Courses and Materials are all subject to such changes, revisions, modifications, updates, additions or deletions at any time in RRC’s sole discretion, without prior notice to Employer or its Registered Users. RRC may, but shall be under no obligation to, correct any information or data on the Website or in the Courses or Materials that may be found to be inaccurate, incomplete, out-of-date or otherwise unreliable.
- PROPRIETARY RIGHTS AND NOTICES
Except with respect to materials, if any, that may be expressly identified therein as public domain, the Website, the Courses and all Materials and associated content are proprietary to RRC and its affiliated content providers and are subject to copyright. The Courses and Materials are made available for use by Employer and User pursuant to the License, and not by sale, for the limited purposes and use set forth in this Agreement and may not be used for any other purpose. Except as may be expressly permitted with respect to specific Course handouts, no portion of the Materials may be reprinted, republished, modified, or distributed in any form without the express written consent or approval of RRC. The name “Retirement Resource Center” and the RRC logo, and any other source indicator of RRC appearing on the Website, are proprietary marks of RRC and shall not be removed from, or obscured on, the Courses or any Materials or used in conjunction with the name(s) or mark(s) of any other person or entity (including those of Employer) unless expressly approved in writing by RRC. User shall not remove, obscure or alter any proprietary notices, including any copyright notices and indicia of trademark ownership or registration, that may be included on or with the Courses or any Materials.
- CONFIDENTIALITY AND NONDISCLOSURE
User acknowledges that the Courses and Materials are proprietary in nature and have commercial value in part on account of their restricted availability to licensed users. Accordingly, User shall take reasonable steps to prevent the unauthorized use or disclosure of any proprietary content of the Courses and Materials. User and RRC shall each endeavor to take reasonable steps to prevent the unauthorized use or disclosure of information or materials in which the other has a reasonable expectation of confidentiality.
- TERMINATION OF USE
The User’s right to access and use the Courses and Materials will immediately terminate without further notice (i) at the end of the Term, unless Employer and RRC agree in writing to an extension of the Term under this Agreement upon such other or additional terms and conditions as they may, in their discretion, agree; or (ii) if Employer or any of its Registered Users fail to comply with their respective agreements, covenants and obligations under this Agreement or any end user agreement or terms and conditions of use applicable to Employer or its Registered Users on the Website.
- DISCLAIMER OF WARRANTIES
THE COURSES AND MATERIALS ARE PROVIDED TO EMPLOYER AND USER “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. RRC further does not warrant that the Website will be functionally free of errors or that the Courses or the Materials do not contain information or data that may be inaccurate, incomplete, out-of-date or otherwise unreliable. RRC shall have no obligation to correct any such defects whether or not it undertakes to do so.
- EQUITABLE RELIEF
The provisions in this Agreement are necessary for the protection of the business and goodwill of RRC and are considered by User to be reasonable for such purposes. User agrees that any breach of this Agreement by User will cause RRC substantial and irreparable damages. Therefore, in event of any such breach, in addition to other remedies that may be available, RRC shall have the right to seek specific performance and other injunctive and equitable relief.
- ATTORNEY FEES
If any legal action or proceeding is brought for the enforcement of this Agreement or arises from the alleged breach, dispute, default or misrepresentation in connection with any of the provisions of this Agreement, each party shall bear its own attorneys’ fees and other costs incurred as a result of such legal action or proceeding.
- LIMITATION OF LIABILITY
In no event shall RRC be liable for any damages whatsoever including any direct, indirect, incidental, consequential, loss of business profits or special damages, even if RRC has been advised of the possibility of such damages. In any case, RRC’s liability shall be limited to the amount of money that RRC received from Employer under this Agreement.
- GOVERNING LAW, JURISDICTION AND VENUE
This Agreement shall for all purposes be governed by and interpreted in accordance with the laws of the State of Indiana. Any legal suit, action or proceeding arising out of, or relating to this Agreement or the License, shall be commenced in a federal court in Indianapolis, Indiana or in a state court in Marion County, Indiana; and User irrevocably submits to the personal and exclusive jurisdiction and venue of any such court in any such suit, action or proceeding and waives any right which it may have to transfer or change of venue of any such suit, action or proceeding, except that in connection with any suit, action or proceeding commenced in a state court, each party retains the right to remove such suit, action or proceeding to federal court to the extent permissible.
- WAIVER
No failure to enforce any term of this Agreement shall constitute a waiver of such term in the future unless such waiver so provides by its terms.
- ASSIGNMENT
Neither this Agreement nor any of User’s rights or obligations hereunder may be assigned by User in whole or in part without the prior written approval of RRC. Any other attempted assignment shall be null and void.
- SEVERABILITY
If any part of this Agreement is for any reason found to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions of this Agreement shall not be affected and same shall remain in effect.
- HEADINGS
The captions and section headings contained in this Agreement are for ease of reference only and shall not be construed as defining or limiting the scope of any provision of this Agreement.
- ENTIRE AGREEMENT
This Agreement constitutes the entire Agreement between the RRC and User with respect to the Courses and Materials, and supersedes all prior or contemporaneous understandings or Agreements, written or oral, regarding such subject matter. No waiver, amendment to or modification of this Agreement will be binding unless in writing and signed by a duly authorized representative of the RRC.
You acknowledge that you have read this User Agreement, understand it, and agree to be bound by its terms and conditions when you use these Courses and Materials.
